Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Lead2Cash.ai LLC ("Company," "we," "us," or "our") governing your access to and use of the lead2cash.ai website and AI sales automation platform (collectively, the "Services").

By accessing or using the Services, clicking "I agree," or signing an order form or service agreement, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

Description of Services

Lead2Cash.ai provides an AI-powered sales automation platform that includes:

• AI voice agent for lead qualification and appointment booking
• Automated SMS and call communication tools powered by Twilio
• CRM pipeline management built on the GoHighLevel platform
• Workflow automation engine for multi-step lead nurturing sequences
• Email campaign management powered by SendGrid
• Payment collection and proposal management via Stripe integration
• Analytics and reporting dashboards
• Integration services with third-party platforms

We reserve the right to modify, update, or discontinue any feature of the Services at any time. Where changes materially affect the Services, we will provide reasonable advance notice.

Accounts & Access

To use the Services, you must provide accurate, current, and complete information during registration and maintain this information throughout your use of the Services. You are responsible for all activity that occurs under your account.

• You are responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately of any unauthorised access to your account
• We are not liable for any loss arising from unauthorised use of your account
• You may not share account credentials or allow multiple users under a single account unless your subscription permits this

You may grant access to your account to employees and contractors ("Authorised Users") subject to these Terms. You are responsible for ensuring Authorised Users comply with these Terms and for all actions taken by them within the platform.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services to send spam, unsolicited messages, or engage in deceptive practices
• Violate any applicable laws or regulations, including TCPA, GDPR, CAN-SPAM, or other communication laws
• Transmit or store illegal, harmful, threatening, defamatory, or fraudulent content
• Attempt to gain unauthorised access to any part of the Services or related systems
• Reverse engineer, decompile, or attempt to extract the source code of the Services
• Use the Services to compete with Lead2Cash.ai or build a similar service
• Remove or modify any proprietary notices or labels on the Services
• Use the Services in a way that could disable, overburden, or impair the platform
• Misrepresent your identity or affiliation with any entity when using the Services

We reserve the right to suspend or terminate access to the Services if we determine, at our sole discretion, that you have violated these provisions.

Your Compliance Obligations

If you use our SMS and voice calling features to communicate with individuals in the United States, you are solely responsible for:

• Obtaining all required prior express written consent before initiating automated calls or texts
• Maintaining records of consent for a minimum of 4 years
• Honouring opt-out requests immediately and maintaining do-not-call lists
• Ensuring all communications comply with TCPA restrictions and FCC rules

If you process personal data of individuals in the EEA or UK, you are responsible for ensuring your use of our platform complies with GDPR requirements, including establishing a lawful basis for processing and providing required notices to data subjects.

You indemnify and hold harmless Lead2Cash.ai from any claims, penalties, or liability arising from your failure to comply with applicable laws in connection with your use of the Services.

Intellectual Property

The Services and all content, features, and functionality (including but not limited to software, algorithms, interfaces, text, graphics, and logos) are owned by Lead2Cash.ai LLC and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the Services during your subscription term.

You retain full ownership of your data, leads, customer information, and content ("Client Data") that you input into the platform. You grant us a limited licence to process, store, and use Client Data solely to provide the Services to you.

If you provide feedback, suggestions, or ideas about the Services, you grant us a royalty-free, perpetual licence to use this feedback to improve our Services without any obligation to compensate you.

Data & Privacy

Your use of the Services is also governed by our Privacy Policy, incorporated into these Terms by reference. Key points:

• We process your data as described in the Privacy Policy to provide the Services
• We act as a data processor for Client Data and you remain the data controller
• We implement appropriate technical and organisational security measures
• We do not sell your data to third parties
• Data processing details are available in our Data Processing Agreement upon request

Payment Terms

Service fees are specified in your order form or service agreement. Fees are payable in advance unless otherwise agreed. All fees are non-refundable except as expressly stated in these Terms or required by law.

Payments are processed through Stripe. By providing payment information, you authorise us to charge your payment method for all applicable fees. You represent that you have authority to use the payment method provided.

Overdue amounts may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend Services for accounts with overdue balances.

You are responsible for all applicable taxes, duties, and levies. Our fees do not include taxes unless expressly stated.

Termination & Suspension

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of prepaid fees except as required by applicable law.

We may suspend or terminate your access to the Services immediately, without prior notice, if we determine that you have:

• Violated these Terms or any applicable law
• Engaged in fraudulent or abusive use of the Services
• Failed to pay any amounts due
• Acted in a manner that poses a risk to other users or the integrity of the platform

Upon termination, your right to access the Services immediately ceases. We will provide you with a reasonable opportunity to export your Client Data within 30 days of termination, after which we may delete your data in accordance with our retention policy.

Disclaimers & Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LEAD2CASH.AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or that any defects will be corrected. We do not guarantee specific results from using the Services, including sales outcomes, lead conversion rates, or revenue generation.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEAD2CASH.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS OR IN CONNECTION WITH THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. If you are in such a jurisdiction, some of the above limitations may not apply to you.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties.

If disputes cannot be resolved through negotiation, they shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. Class action waiver: to the extent permitted by law, you waive your right to participate in class action lawsuits or class-wide arbitration.

Nothing in this section prevents either party from seeking injunctive or other equitable relief for intellectual property infringement or data security breaches.

We reserve the right to update these Terms at any time. We will notify you of material changes by email or through the platform at least 14 days before they take effect. Continued use of the Services after changes constitutes your acceptance of the updated Terms.
